Refunds and cancellation

01 · Consulting term

Consulting plans are billed annually in advance in U.S. dollars. Each engagement runs for an initial twelve (12) month term and renews for successive 12-month terms unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.

02 · How to cancel

Send written notice to legal@cofactor.consulting.

• Non-renewal. Notice must arrive at least 30 days before the end of the then-current 12-month term.
• Without cause. You may end an engagement at any time by written notice.
• Material breach. Either party may end the engagement if the breach is not cured within 30 days after written notice.

03 · Consulting refunds

Unless the Terms say otherwise, consulting fees are non-refundable. Pre-paid fees for the unused remainder of the current term are not refunded when you end an engagement without cause, except where the law requires a refund.

If the Terms change in a material way and you do not accept the change, you may terminate by written notice before the effective date of that change and receive a pro-rated refund of pre-paid fees for the unused portion of the then-current term.

If the service is not performed in a workmanlike manner, consistent with generally accepted industry standards, the remedy in the Terms is re-performance of the affected work or, if we cannot reasonably do so, a refund of the fees paid for the deficient portion.

On termination, we continue to operate the service for up to 60 days so you can transition, on the existing fee basis. We also provide a clean export of your data in standard formats (Postgres dump, CSV, or JSON) within 30 days of a written request, at no additional charge.
